The terms that govern access to and use of BetterShift, including accounts, workspaces, subscriptions, acceptable use, customer data, and liability.

1. Acceptance of these Terms

These Terms and Conditions govern access to and use of BetterShift, including the website, web app, mobile app, APIs, dashboards, emails, support, and related services.

By creating an account, accepting an invite, clicking to agree, subscribing, or using BetterShift, you agree to these Terms. If you use BetterShift for a company or other organization, you represent that you have authority to act for that organization. If a separate signed agreement exists, that agreement controls where it conflicts with these Terms.

2. The service

BetterShift is a workforce scheduling and operations platform for availability, shifts, leave, substitutions, time tracking, notifications, worker records, document storage, and payroll handoff.

BetterShift helps organize information and workflows. It does not replace professional advice, legal compliance, HR judgment, payroll review, tax advice, collective bargaining obligations, or employer responsibilities.

3. Accounts and workspaces

  • Users must provide accurate account information and keep credentials secure.
  • Workspace owners and admins control workspace configuration, invitations, permissions, worker records, and data entered into the workspace.
  • Workers invited to a workspace may access only the features and records made available through their role and permissions.
  • You must notify us promptly if you suspect unauthorized access, credential compromise, or misuse.

4. Customer data

Customer organizations and their users retain ownership of data they submit to BetterShift. You grant BetterShift the rights needed to host, store, process, transmit, display, secure, back up, and otherwise use customer data to provide and improve the service, comply with law, and enforce these Terms.

Customer organizations are responsible for the accuracy, legality, quality, and rights to the data they enter, upload, import, or ask workers to provide. Organizations are also responsible for privacy notices, employee communications, retention decisions, and responding to worker requests where they are the data controller.

5. Scheduling, time, payroll, and workplace decisions

BetterShift may provide schedules, warnings, suggestions, summaries, calculations, and exports based on workspace data. These outputs are tools for review, not final legal, payroll, tax, or employment determinations.

Customer organizations remain responsible for verifying schedules, hours, wages, rates, payroll exports, leave treatment, medical or sickness data handling, overtime, rest periods, contracts, collective agreements, and applicable labor laws.

6. Subscriptions, billing, and taxes

Paid plans, worker counts, pricing, billing periods, and limits are shown in the product, checkout flow, order form, or separate agreement. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.

Payments may be processed by Stripe or another payment provider. You authorize the payment provider to charge applicable fees and taxes. You are responsible for keeping billing information accurate and for all taxes, duties, and governmental charges except taxes based on BetterShift's income.

7. Acceptable use

  • Do not use BetterShift unlawfully, deceptively, or in a way that violates another person's rights.
  • Do not upload malware, attempt unauthorized access, interfere with service operation, probe systems, bypass limits, scrape at scale, or reverse engineer the service except where law allows.
  • Do not submit data you are not allowed to process, including sensitive workplace or medical data without a valid legal basis and appropriate safeguards.
  • Do not use BetterShift to send spam, harass people, discriminate unlawfully, or make decisions that violate labor, equality, privacy, or consumer protection laws.

8. Third-party services

BetterShift may integrate with or rely on third-party services for hosting, databases, file storage, email, authentication, billing, analytics, and other operations. Third-party services may be subject to their own terms and privacy notices.

We are not responsible for third-party services outside our control, but we choose operational providers with the goal of supporting a reliable and secure service.

9. Confidentiality and security

Each party must protect confidential information received from the other party using reasonable care. Confidential information includes non-public business, product, technical, security, financial, worker, and workspace information.

BetterShift uses reasonable administrative, technical, and organizational measures designed to protect the service. Customers are responsible for managing their users, permissions, devices, passwords, exports, and local copies of data.

10. Intellectual property

BetterShift and its licensors own the service, software, design, trademarks, logos, documentation, templates, and other product materials. These Terms do not transfer any BetterShift intellectual property to you.

Feedback, ideas, and suggestions may be used by BetterShift without restriction or compensation, provided we do not disclose customer confidential information.

11. Suspension and termination

You may stop using BetterShift at any time. Workspace owners may close workspaces subject to retention, billing, and legal obligations.

We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay fees, misuse the service, or if continued access would harm BetterShift, customers, users, or third parties. Where practical, we will give notice and a chance to resolve the issue.

12. Availability and changes

We aim to provide a reliable service, but BetterShift may be unavailable from time to time due to maintenance, updates, outages, third-party issues, security events, or circumstances outside our control.

We may add, change, or remove features, plans, limits, or integrations. If a material change negatively affects paid use, we will take reasonable steps to notify affected customers.

13. Disclaimers

To the maximum extent permitted by law, BetterShift is provided on an as-is and as-available basis. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and accuracy of outputs.

Nothing in these Terms limits rights that cannot be limited under applicable law.

14. Limitation of liability

To the maximum extent permitted by law, BetterShift will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption, payroll errors, employment claims, or substitute services.

To the maximum extent permitted by law, BetterShift's aggregate liability for claims relating to the service is limited to the amounts paid to BetterShift for the affected workspace during the 12 months before the event giving rise to the claim, or EUR 100 if no fees were paid.

15. Indemnity

If you use BetterShift for an organization, the organization will defend and indemnify BetterShift from claims, losses, liabilities, damages, costs, and expenses arising from customer data, workplace decisions, payroll or labor-law compliance, user misuse, breach of these Terms, or violation of law or third-party rights.

16. Governing law and disputes

If a signed agreement or order form specifies governing law or venue, that provision applies. Otherwise, these Terms are governed by the laws of Italy, excluding conflict-of-law rules, and disputes will be handled by the competent courts of Milan, Italy, unless mandatory consumer or employment laws require another forum.

17. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users or customer organizations. Continued use after the effective date of updated Terms means you accept the updated Terms.
